These terms govern your use of the Spheralytical OS platform, operated by Spheralytical ([registered entity]). By subscribing you agree to them.
The service
We generate, build, host and maintain a website and ongoing marketing (SEO, content, social, analytics) for your business, and provide dashboards to manage it. Service scope depends on your plan.
Subscription and billing
- Plans are billed monthly in ZAR (Launch R900, Starter R1 750, Growth R2 500, Scale R3 750).
- Plans run for an initial term of 12 months, billed monthly, and then continue month to month. After the initial term you may cancel before any monthly renewal.
- Fees are non-refundable except where required by law. Failed payments may suspend the service after notice.
Ownership and licensing
While you subscribe, we license you the use of the website and marketing assets we create and maintain, and we retain the underlying IP and tooling. You retain ownership of your own brand, content and data that you provide. You may purchase the site and assets outright (a one-off buy-out) to own them. On buy-out we deliver the complete website as standalone HTML files you may host anywhere; hosting and maintenance terms are agreed separately. Domains registered on your behalf are registered in your business's name and transfer with you. The platform (portal, reporting and monthly services) is not transferable and remains part of the subscription.
Acceptable use
- No unlawful, infringing, misleading or harmful content.
- You are responsible for the accuracy of the information you provide and for your end customers' data.
- No attempts to disrupt, reverse-engineer or resell the platform without agreement.
Warranties and liability
The service is provided on a commercially reasonable best-efforts basis. To the extent permitted by law, our liability is limited to the fees paid in the [3] months preceding the claim. We are not liable for indirect or consequential loss.
Termination
Either party may terminate on notice. On termination your subscription access ends; we will make your data available for export for a reasonable period before deletion.
Governing law
These terms are governed by the laws of the Republic of South Africa.
